BANKING SERVICES
City of Orange Township is seeking proposals from financial institutions to provide primary
banking services for the City. The City’s objective in soliciting Proposals is to enable it to select
a respondent that will provide high quality and cost effective banking services to City of Orange
Township.
NOTICE IS HEREBY GIVEN that sealed proposals will be received at THE CITY OF
ORANGE TOWNSHIP, Council Chambers (4th Floor), 29 N Day Street, Orange , 07050, New
Jersey on Friday, November 1, 2024.
Proposals shall be submitted on the forms provided, in the manner designated therein and
required by the specifications. They must be enclosed in sealed envelopes, bearing the name and
address of the bidder and labeled “PROPOSAL FOR BANKING SERVICES FOR CITY OF
ORANGE TOWNSHIP” on the outside, addressed to the NILE CLEMENTS, CFO/QPA CITY
OF ORANGE TOWNSHIP, ESSEX COUNTY, NEW JERSEY.
Proposals for the above listed services are being solicited through a fair and open process in
accordance with N.J.S.A. 19:44A-20.5 et seq. Proposers are required to comply with the
requirements of P.L. 1975 (N.J.A.C. 17:27 et seq). Proposers are required to comply with the
requirements of NJSA 10:5-31 et seq. and NJAC 17:27 for an affirmative action program for
equal employment opportunity. Proposers must also comply with the requirements of P.L. 1977,
Chapter 33 amending the Local Public Contracts Law. Proposers must submit a statement
setting forth the names and addresses of all the stockholders in the corporation or members of the
partnership who own ten percent (10%) or more of its stock, or have a ten percent (10%) or
greater interest in the case of partnership. The Financial institution must be fully qualified as a
“Public Depository” pursuant to the State of New Jersey Government Unit Depository Protection
Act and must continue to be such during the term of the contract.
The Council of CITY OF ORANGE TOWNSHIP reserves the right to reject all proposals, to
reject unbalanced proposals, and to waive any informality in any proposal.

REQUEST FOR PROPOSALS
1. INSTRUCTIONS TO PROPOSERS
1.1. THE PROPOSAL
City of Orange Township is soliciting proposals for banking services for a
term of three years, to commence on February 1, 2025, with the option to
renew for two years, in one-year increments, totaling five (5) years of
contract service.
1.2. CHANGES TO PROPOSAL SPECIFICATIONS
Notice of revisions relating to proposal will, no later than seven days,
Saturdays, Sundays and holidays excepted, prior to the date for
acceptance of proposals be sent electronically to all the respondents and
published in City of Orange Township’s website.
1.3. OPENING OF PROPOSALS
All proposals will be publicly opened and read at City of Orange
Township Municipal Building on Friday, November 1, 2024 at 11:00am
in the Council Chambers. All proposals must be delivered by hand or by
mail to the Chief Financial Officer of City of Orange Township no later
than 11:00 a.m. on Friday, November 1, 2024. All proposals will be dated
and time stamped upon receipt. Proposer is solely responsible for the
timely delivery of the proposals and no proposal shall be considered
which are presented after the public call for receiving requests. Any
Proposal received after the date and time specified will be returned,
unopened, to the proposer.
1.4 DOCUMENTS TO BE SUBMITTED
The following documents shall be submitted by every proposer at the time and date
specified in the public notice to prospective bidders:
1.4.1. Banking Services Fee Proposal Form Estimated Monthly Composite
Analysis (Exhibit A)
1.4.2. Affirmative Action Acknowledgement Form
1.4.3. Stockholder Disclosure Certification Form
1.4.4. Non-Collusion Affidavit Form
1.4.5. Insurance Requirement and Acknowledgement Form
1.4.6. The proposer must be chartered to do business in the State of New Jersey
and attach a Governmental Unit Depository Protection Act certification of
eligibility (GUDPA)
1.4.7. Questionnaire setting forth experience and qualifications;

PROPOSAL SUBMISSION REQUIREMENTS
2.1. PROPOSAL
2.1.1. Each submission must be originals and shall be provided on the
Standardized Submission Forms as supplied in the RFP package and
signed by the professional services entity or principal thereof and shall
contain the name, address and telephone number of the professional
services entity. Each signatory to the submission must initial all erasures
or corrections.
2.1.2. Proposals shall be submitted on the forms provided, in the manner
designated therein and required by the Specifications. They must be
enclosed in sealed envelopes, bearing the name and address of the
proposer and labeled “PROPOSAL FOR BANKING SERVICES FOR
CITY OF ORANGE TOWNSHIP” on the outside, addressed to the NILE
CLEMENTS, CFO/QPA, CITY OF ORANGE TOWNSHIP, ESSEX
COUNTY, NEW JERSEY. No proposal will be accepted past the date
and time specified by City of Orange Township: Friday, November 1,
2024 at 11:00am. City of Orange Township will not be responsible for
submissions forwarded through the U.S. Mail or any delivery service if
lost in transit at any time before submission opening, or if hand-delivered
to incorrect location.
2.1.3. By submitting a proposal, the proposer certifies that he or she has fully
read and understands the RFP.
2.1.4. Indicate whether proposer is a parent or subsidiary associated with a
holding company and describe its relationship to other in the group, if
applicable.
2.1.5. Provide financial reports for the previous two years. Please include as an
attachment at the end of your proposal.
2.1.6. Please provide your current financial rating as issued by Moody’s,
Standard and Poor’s and or Fitch.
2.1.7. Please indicate the institution’s background in providing banking services
to municipal units of government, in general, and specifically to
municipalities the size of City of Orange Township. Provide a listing of
municipal client references that are presently using the institution’s
professional services – i.e., the client name and address; contact person’s
name, position, and current telephone number and; dates, cost and scope
of service. The proposal contains option proposals. City of Orange
Township may, at its discretion, award a contract to the proposer whose
aggregate proposal price for the chosen option, or any combination of
options, is the lowest responsible bidder; provided, however, the City shall
not award the contract based on the bid price for separate options.
2.2. EXCEPTIONS TO THE SPECIFICATIONS
City of Orange Township expressly reserves the right to waive any informality in
any submission, and to accept the submission, which in City of Orange Township’s
judgement serves its best interest.
2.3. COMPLIANCE
The proposer shall be familiar with and comply with all applicable local, state and
federal laws and regulations applicable to this engagement and to the services to be
performed hereunder.
2.4. CONFLICT OF INTEREST AND NON-COLLUSION
Each proposer must execute and submit as part of the Bid Proposal a "Non-
Collusion Affidavit" which at a minimum shall attest that:
2.4.1. The proposer has not entered into any agreement or participated in any
collusion with any other person, corporate entity or government entity, or
competitive bidding either alone or with any other person, corporate entity
or government entity in connection with the above named project;
2.5. All statements made in the proposal are true and correct and made with the full
knowledge that the contracting unit relies upon the truth of those statements in
awarding the contract.
3.
AWARD OF CONTRACT
3.1. GENERALLY
3.1.1. The contract will be awarded to the proposer providing the primary
banking services at the lowest net cost and who meets all of the needs of
City of Orange Township most efficiently, provided the price is
reasonable and is in the best interest of City of Orange Township to accept
it. City of Orange Township reserves the right to reject any/or all
proposals, and the right to accept the proposal that it considers most
favorable to City of Orange Township’s interest.
3.1.2. City of Orange Township reserves the right to seek new proposals when
such a procedure is in its best interests to do so.
3.1.3. City of Orange Township reserves the right to enter into depository
arrangements with one or more banking institutions.
3.1.4. The cost proposal submitted to City of Orange Township must be all
inclusive. All services not mentioned or general services incidental to the
operations of accounts maintained by the City and not addressed are
expected to be provided at no additional costs.
3.1.5. Assume the activity estimates referred to throughout this document to be a
reasonable estimate of activity to be experienced. The rates quoted per
item by the proposer will be considered fixed, regardless of activity
deviation. The City does not guarantee any minimum or maximum
volume of activity.
3.2. EVALUATION OF PROPOSAL
Proposals will be evaluated by City of Orange Township on the basis of most
advantageous, price and other factors considered. City of Orange Township will
make the award(s) that is in the best interest of the City. The following criteria will
be used to evaluate the proposals:
3.2.1. Responsiveness of the proposal related to the scope of the work
3.2.2. Ability, capacity, and skill of the financial institution to perform the
services on a timely basis.
3.2.3. The functionality of the online banking platform relative to the needs of
the City
3.2.4. Responses of client references
3.2.5. Experience of the financial institution in establishing and maintaining
similar accounts.
3.2.6. Earnings/Investment Formula
3.2.7. The sufficiency of financial resources and ability of the institution to
perform the contract
3.2.8. The reputation, stability, and longevity of the proposer
3.2.9. The quality, availability, and adaptability of the services to the particular
need required:
3.2.9.1.Qualifications including experience and reputation in the field
3.2.9.2.Experience working on projects of similar type and scale
3.2.9.3.Knowledge of the subject matter addressed under the contract
3.2.9.4.Availability to accommodate the required meetings of City of
Orange Township
3.2.9.5.Existing knowledge of the subject matter to be addressed under the
contract
3.2.9.6.Compensation proposal
3.2.9.7.History and experience of firm in performing this type of work
3.2.9.8.The qualifications and experience of the proposed staff
3.2.9.9.Past performance
3.2.10. NOTICE OF AWARD AND EXECUTION OF CONTRACT
Within fourteen calendar days of the award of the contract, City of Orange
Township shall notify the successful bidder in writing, at the address set
forth in the Proposal and such notice shall specify the place and time for
delivery of the executed contract.
3.3. AFFIRMATIVE ACTION REQUIREMENTS
3.3.1. If awarded a contract, the successful proposer will be required to comply
with the requirements of N.J.S.A. 10:5-31 et seq. and N.J.A.C. 17:27 et
seq.
4.
REQUIRED SERVICES FOR RESPONDING FINANCIAL INSTITUTIONS
4.1. GENERAL
4.1.1. Online bank statement access within 1-2 business days after month end.
Canceled check images should be available online as well, at least for a
period of one year, and provided on disk as well.
4.1.2. ACH block and filter controls, as well as Positive pay features to mitigate
fraud. Alerts for ACH and Positive pay items that need review.
4.1.3. Interest earned on all accounts.
4.1.4. Next business day availability for deposited checks
4.1.5. Monthly account analysis, detailing all charges as well as earning credit, if
applicable
4.1.6. City of Orange Township must be exempt from all fees for services
4.1.7. Availability to transfer(sweep) monthly interest from various accounts to
operating accounts, as directed by CFO
4.1.8. Web based computer banking (Real Time) allowing access to banking
services such as: book transfers, wire transfers, stop payments, statements,
wire transfers, etc. This shall be available for all accounts. A
demonstration of this service shall be requested by the City.
4.1.9. Online banking system must have the capability to accept ACH
transactions and credit card tax payments for all City accounts with the
City’s existing software vendors (Edmunds GovTech, Allpaid, Spatial
Data Logic and any major credit card processing company)
4.1.10. Online banking services with the following features: A. Balance and
statement reporting with minimum 90 day look-back capability for
detailed account activity. B. Check imaging (Front and Back) for all
cleared checks – up to 7 year retrieval from check issue date. C. Internal
Account Transfers. D. Wire transfers from all accounts. E. Online Check
Inquiry and Stop Payment Capability. F. Deposit detail available online,
as well as the ability to see deposit slips and checks the city deposited.
4.1.11. The Proposer must accept EFT transactions in lieu of paper bank checks
when an individual utilizes online banking to pay taxes and water/sewer
charges. The Proposer must have the ability to process the file to the
City’s software vendor.
4.1.12. Provide daily detailed remittance advice for all online credit card
payments. Provide deposit check images online on a daily basis.
4.1.13. Proposer shall provide the City, at Proposer’s cost, sufficient checks,
deposit slips and self-inked stamps for all accounts
4.2. ADDITIONAL SERVICES
4.2.1. Deposit courier services to transport City of Orange Township deposits.
Armored car service 3x per week, picking up from City Hall Tax
Collector’s Office located at 29 N Day St , 2nd Floor, Orange, NJ 07050.
Payment of Payroll Processing fees: City of Orange Township is currently
under contract with Prime Point for payroll processing services. The
annual charges for these services is approximately $100,000.
4.2.2. Remote Deposit by image and equipment to all accounts. Check
scan/remote deposit capture will required a minimum of four (4)
terminals.
4.2.3. Direct notification by e-mail with back up of any returned check, ACH
debit/credit, and any other transaction, error or correction that would
require manual action or individual attention.

5.
CONTRACT DOCUMENTS
5.1. CONTRACT
Contracts will be supplied at a later date from City of Orange Township. All terms
and conditions within said contracts will be limited to the information provided
within this proposal document and any other statutory requirements by law.
The successful proposer(s) shall within twenty-one (21) days after official
acceptance and receipt of contract from City of Orange Township, execute the
contract(s) and deliver same to the Chief Financial Officer of City of Orange
Township. Failure to do so will be considered as an abandonment of the contract.

GOODS, PROFESSIONAL SERVICE AND GENERAL SERVICE CONTRACTS
During the performance of this contract, the contractor agrees as follows:
The contractor or subcontractor, where applicable, will not discriminate against any employee or

The contractor and its subcontractors shall furnish such reports or other documents to the Div. of
Contract Compliance & EEO as may be requested by the office from time to time in order to carry
out the purposes of these regulations, and public agencies shall furnish such information as may
be requested by the Div. of Contract Compliance & EEO for conducting a compliance investigation
pursuant to Subchapter 10 of the Administrative Code at N.J.A.C. 17:27.

(b) A photocopy of a Certificate of Employee Information Report approval, issued in accordance
with N.J.A.C. 17:27-4;

(c) A photocopy of an Employee Information Report (Form AA302) provided by the Division and
distributed to the public agency to be completed by the contractor in accordance with N.J.A.C.
17:27-4.
The successful vendor may obtain the Affirmative Action Employee Information Report (AA302)
from the contracting unit during normal business hours.
The successful vendor(s) must submit the copies of the AA302 Report to the Division of Contract
Compliance and Equal Employment Opportunity in Public Contracts (Division).
The Public
Agency copy is submitted to the public agency, and the vendor copy is retained by the vendor.
The undersigned vendor certifies that he/she is aware of the commitment to comply with the
requirements of N.J.S.A. 10:5-31 and N.J.A.C. 17:27.1 et seq. and agrees to furnish the required
forms of evidence.
The undersigned vendor further understands that his/her bid shall be rejected as non-responsive
if said contractor fails to comply with the requirements of N.J.S.A. 10:5-31 and N.J.A.C. 17:27-1

INSURANCE REQUIREMENTS AND ACKNOWLEDGEMENT FORM
The minimum amount of insurance to be carried by the Professional Service Entity shall be as

Limits shall be a minimum of $1,000,000.00 for each claim and $1,000,000.00 aggregate each

Proof of Insurance Coverage – The Contractor Shall provide the City of Orange Township at the
time the contracts are returned for execution, Certificates of Insurance and/or polices acceptable
to the municipalities.
Continuation of Coverage – If any of the above coverage’s expires during the term of the contract,
the contract shall deliver renewal certificates and/or polices to the municipality at least ten (10)
days prior to the expiration date.

QUESTIONNAIRE SETTING FOR EXPERIENCE AND QUALIFICATIONS
This questionnaire must be filled out and submitted as part of the request for Proposal for
Banking Services for City of Orange Township. Failure to complete this form or to provide any
of the information required herein shall result in rejection of the Bid Proposal.
Answers should be typewritten or printed neatly in black or blue ink. Answers must be legible.
Any answer that is illegible or unreadable will be considered incomplete. If additional space is
required, the bidder shall add additional sheets and identify clearly the question being answered.
1. Is your financial institution fully qualified as a “Public Depository” pursuant to the State of
New Jersey Government Unit Depository Protection Act and must continue to be such during
the five year contract period (including extension option)?
2. Please provide current financial rating as issued by Moody’s, Standard and Poor’s and or
Fitch.
3. Indicate the Institution’s background in providing banking services to municipal units of
government, in general, and specifically to municipalities the size of City of Orange

transfers, etc. on all accounts? In addition, are you going to allow the City to view all bank
accounts activities on one screen for five days and to provide real time up to date transactions
on a daily basis?

files from the City’s software vendors?

The contractor and the City of Orange Township (hereafter “owner”) do hereby agree that the
provisions of Title 11 of the Americans With Disabilities Act of 1990 (the "Act") (42 U.S.C. S121
01 et seq.), which prohibits discrimination on the basis of disability by public entities in all services,
programs, and activities provided or made available by public entities, and the rules and
regulations promulgated pursuant there unto, are made a part of this contract. In providing any
aid, benefit, or service on behalf of the owner pursuant to this contract, the contractor agrees that
the performance shall be in strict compliance with the Act. In the event that the contractor, its
agents, servants, employees, or subcontractors violate or are alleged to have violated the Act
during the performance of this contract, the contractor shall defend the owner in any action or
administrative proceeding commenced pursuant to this Act. The contractor shall indemnify,
protect, and save harmless the owner, its agents, servants, and employees from and against any
and all suits, claims, losses, demands, or damages, of whatever kind or nature arising out of or
claimed to arise out of the alleged violation. The contractor shall, at its own expense, appear,
defend, and pay any and all charges for legal services and any and all costs and other expenses
arising from such action or administrative proceeding or incurred in connection therewith. In any
and all complaints brought pursuant to the owner’s grievance procedure, the contractor agrees to
abide by any decision of the owner which is rendered pursuant to said grievance procedure. If
any action or administrative proceeding results in an award of damages against the owner, or if
the owner incurs any expense to cure a violation of the ADA which has been brought pursuant to
its grievance procedure, the contractor shall satisfy and discharge the same at its own expense.
The owner shall, as soon as practicable after a claim has been made against it, give written notice
thereof to the contractor along with full and complete particulars of the claim, If any action or
administrative proceeding is brought against the owner or any of its agents, servants, and
employees, the owner shall expeditiously forward or have forwarded to the contractor every
demand, complaint, notice, summons, pleading, or other process received by the owner or its
representatives.
It is expressly agreed and understood that any approval by the owner of the services provided by
the contractor pursuant to this contract will not relieve the contractor of the obligation to comply
with the Act and to defend, indemnify, protect, and save harmless the owner pursuant to this
paragraph.
It is further agreed and understood that the owner assumes no obligation to indemnify or save
harmless the contractor, its agents, servants, employees and subcontractors for any claim which
may arise out of their performance of this Agreement. Furthermore, the contractor expressly
understands and agrees that the provisions of this indemnification clause shall in no way limit the
contractor’s obligations assumed in this Agreement, nor shall they be construed to relieve the
contractor from any liability, nor preclude the owner from taking any other actions available to it
under any other provisions of the Agreement or otherwise at law.

GENERAL INFORMATION ON CITY OF ORANGE TOWNSHIP
City of Orange Township is a City located in Essex County, New Jersey. The City is a
part of the Newark Metropolitan area and approximately 30 minutes from Lower
Manhattan by car or train.
As of the 2020 United States Census, the City had a total population of 34,447, reflecting
an increase of 4,313 from the 30,134 counted in 2010 Census. The City was the state’s
sixty-ninth largest municipality in 2010 and 2020 census.
The tax levy for 2024 has the municipality collecting a total of $88,475,004.70 in taxes
(County, School and Municipal taxes combined). The total Current Fund budget for
2024 is $93,280,851.00 and $16,800,000.00 in the Water/ Sewer Operating budget. The
Municipality has over 500 employees.
