FOR 2026 PROFESSIONAL SERVICES
Notice is hereby given that the Borough of Garwood (the “Borough”), 403 South Avenue, Garwood, New
Jersey 07027, will receive sealed Responses from Qualified Respondents on December 22, 2025 at
11:00 a.m. to its Request for Qualifications for 2026 Legal Services (RFQ) listed below, at which time the
Responses will be opened in public:

The RFQ also satisfies the requirements of a fair and open process pursuant to N.J.S.A. 19:44A-
20.4 et seq. Professional services are exempt from bidding pursuant to N.J.S.A. 40A:11-5(1)(a)(i).
The RFQ documents may be obtained from the Borough Clerk, Borough of Garwood, 403 South
Avenue, Garwood, New Jersey 07027 between the hours of 9:00 a.m. and 3:00 p.m., Monday through
Friday, or can be downloaded from the Borough’s website: www.garwood.org
An original, and 1 copy of the response to the RFQ must be submitted in a sealed envelope, clearly
marked on the outside with the word, “Confidential,” and indicate the legal service(s) for which the
Response is submitted (e.g., “Response to RFQ for Municipal Attorney”). In addition, Respondents must
provide a copy of their submission on a clearly identified (name and services), flash drive in Word or
PDF format. Responses must be addressed to: Borough Clerk, Borough of Garwood, 403 South Avenue,
Garwood, New Jersey 07027 to be received no later than 11:00 a.m. prevailing time on
December 22, 2025.
Respondents are required to comply with the requirements of P.L. 1975, c.127 (Affirmative Action
Program, Equal Employment Opportunity).
The Borough reserves the right to consider submitted Responses for sixty (60) days after receipt,
and further reserves the right to reject any and all Responses, waive informalities, and make an award or
take any other action as may be in the best interest of the Borough, consistent with applicable law.

GLOSSARY
The following definitions shall apply to and are used in this Request for Qualifications:
“Borough” – refers to the Borough of Garwood.
“Due Date” – refers to the date and time by which Qualification Statements must be received
by the Borough in order to be considered for award of the contract or position.
“Qualification Statement” – refers to a Respondent’s complete response to this RFQ.
“Qualified Respondent” – refers to those Respondents who (in the sole judgment of the
Borough) have satisfied the qualification criteria set forth in this RFQ.
“RFQ” – refers to this Request for Qualifications, including any amendments thereof or
supplements thereto.
“Response” – refers to a complete response to this RFQ submitted by a Respondent.
“Respondent” or “Respondents” – refers to the interested professionals who submit a
response to the RFQ.
“RFQ” – refers to the Request for Qualifications for 2026 Professional Services,
including any amendments or supplements thereto.
“Services” – refers to the professional services the Borough seeks in this RFQ process.
“Successful Respondent” – refers to the Respondent selected by the Borough to perform
the Services.

SECTION 1
INTRODUCTION AND GENERAL INFORMATION
1.1
INTRODUCTION AND PURPOSE
The Borough is soliciting Qualification Statements from interested persons and/or firms for the
provision of the professional services described herein. Through a Request for Qualification process,
persons and/or firms interested in assisting the Borough with the provision of such services must prepare
and submit a Qualification Statement in accordance with the procedure and schedule in this RFQ. The
Borough will review only Qualification Statements that include all the required information as described
herein. The Borough intends to qualify persons and/or firms that (a) possess the professional capabilities to
provide the proposed services; (b) will agree to work under the compensation terms and conditions set forth;
and (c) have demonstrated the capability and willingness to provide high quality services to the Borough.
The Borough is soliciting Responses to this Request for Qualifications for 2026 Professional
Services as follows:

REDEVELOPMENT ATTORNEY
Through this RFQ process, firms interested in providing the requested services must prepare and
submit a Response in accordance with the procedure and schedule in this RFQ. The Borough will review
only those Responses that include all the information required to be submitted as described herein (in the
sole judgment of the Borough). The Borough intends to award a contract to Qualified Respondents whose
Responses are in the best interest of the Borough, as determined by the Borough in accordance with law.
1.2
PROCUREMENT PROCESS AND SCHEDULE
This RFQ also satisfies the requirements of a fair and open process pursuant to N.J.S.A. 19:44A-
20.4 et seq. Professional services are exempt from bidding pursuant to N.J.S.A. 40A:11-5(1)(a)(i).
The Borough has structured a procurement process that seeks to obtain the desired results described
above, while establishing a competitive process to assure that each firm is provided an opportunity to submit
a Response to the RFQ. Responses will be evaluated by an evaluation committee in accordance with the
criteria set forth in Section 4 of this RFQ, which will be applied in the same manner to each Response
received. Under no circumstances will a member of the evaluation committee review Responses to the RFQ
if they have a personal or financial interest in any of the Respondents.

Based upon the totality of the information contained in the Responses, the Borough will select a
Successful Respondent whose response, in the Borough’s sole judgment, best serves the interests of the
Borough, in accordance with law. The timetable for award of any contract hereunder is set forth in Section
1.8 hereof. The Borough reserves the right to, among other things, amend, modify or alter the Procurement
Schedule upon notice to all potential Respondents.
Through issuance of addenda, or as otherwise deemed necessary or appropriate by the Borough, the
Borough may modify, supplement or amend the provisions of this RFQ in order to respond to inquiries
received from prospective Respondents. Respondents are responsible for obtaining addenda from the
Borough’s website.
1.3
SUBMISSION DEADLINE

Responses must be received by the Borough, via United States mail or hand delivery, on or
before 11:00 a.m. prevailing time on December 22, 2025. Responses not received at that time and
place will not be accepted but will be returned unopened. Responses will not be accepted by facsimile
transmission or email.
1.4
CONDITIONS APPLICABLE TO RFQ
Upon submission of a Response to the RFQ, the Respondent acknowledges and consents to the
following conditions relative to the submission, review and consideration of its Response:
1.
All costs incurred by the Respondent in connection with responding to this RFQ shall be
borne solely by the Respondent.
2.
The Borough reserves the right (in its sole judgment) to reject for any reason, consistent
with law, any and all Responses to the RFQ.
3.
The Borough reserves the right (in its sole judgment) to reject any Respondent that
submits an incomplete Response or whose Response does not comply with the
requirements of this RFQ.
4.
The Borough reserves the right, without prior notice, to supplement, amend, or otherwise
modify this RFQ, or otherwise request additional information.
5.
All Responses shall become the property of the Borough and will not be returned.

6.
All Responses will be made available to the public in accordance with law.
7.
The Borough may request that Respondents’ representatives meet with the Borough for
interviews.
8.
Neither the Borough, nor its staff or consultants, shall be liable for any claims or damages
resulting from the solicitation or preparation of a Response, nor will the Borough
reimburse Respondents for the cost of preparing and submitting a Response or for
participating in this procurement process.
9.
Respondents are advised of the responsibility to file an annual disclosure statement of
political contributions with the New Jersey Election Law Enforcement Commission
pursuant to N.J.S.A. 19:44A-20.13 (P.L. 2005, c.271, s.3) if the Respondent receives
contracts in excess of $50,000 from public entities in a calendar year. It is the
Respondent’s responsibility to determine if filing is necessary. Additional information on
this requirement is available from ELEC at (888) 313-3532 or at www.elec.state.nj.us.
10. The Borough shall not be liable for any claims or damages alleged to have been incurred
as a result of this RFQ process, including the Borough’s review of Qualification
Statements and its award of contracts.
1.5
RIGHTS OF THE BOROUGH
The Borough reserves, holds and may exercise, at its sole discretion, the following rights and options
with regard to this RFQ and the procurement process in accordance with the provisions of applicable law:
1.
To determine that any Response received complies or fails to comply with the terms of
this RFQ.
2.
To supplement, amend or otherwise modify the RFQ through issuance of addenda to all
prospective Respondents who have received a copy of this RFQ.
3.
To waive any technical non-conformance with the terms of this RFQ.
4.
To change or alter the schedule for any events called for in this RFQ upon the issuance of
notice to all prospective Respondents who have received a copy of this RFQ.
5.
To conduct investigations of any or all of the Respondents, as the Borough deems
necessary or convenient, to clarify the information provided as part of the Response, and
to request additional information to support the information included in any Response.
6.
To suspend, abandon or terminate the procurement process described in this RFQ at any
time. If abandoned or terminated, the Borough may determine to commence a new
procurement process or exercise any other rights provided under applicable law without
any obligation to the Respondents.
The Borough shall be under no obligation to complete all or any portion of the procurement process
described in this RFQ.
1.6
ADDENDA OR AMENDMENTS TO RFQ.
After the issuance of the RFQ, but no later than five (5) business days prior to the Due
Date, the Borough may issue an addenda, amendments or answers to written inquiries. Addenda
will be noticed by the Borough and will constitute a part of the RFQ. All responses to the RFQ
shall be prepared with full consideration of any addenda issued.

PROPOSAL FORMAT.
Responses should cover all information requested in Sections 3 and 4 of this RFQ. Responses that
do not meet the requirements of the RFQ or which are in any way conditional, incomplete, obscure, contain
additions or deletions from requested information, or contain errors may be rejected.

SECTION 2
SCOPE OF SERVICES
2.1
DESCRIPTION OF PROFESSIONAL SERVICES NEEDED
It is the Borough’s intent to solicit Responses from Respondents that have expertise in the provision
of the required services that are the subject of this RFQ. Firms responding to this RFQ shall be able to
demonstrate that they have the continuing capabilities to perform the specific services for which a Response
is submitted, and that they possess the necessary professional license to do so.
2.1.1 PLANNING/ZONING BOARD ATTORNEY
The attorney/law firm must have the following:
•
Respondent shall have a minimum of five (5) years of experience in the practice of
Planning/Zoning, specifically Municipal Land Use Law (MLUL), Local Redevelopment and
Housing Law (LRHL), Coalition on Affordable Housing (COAH) and be familiar with the Master
Plan and Chapter 106 of the Code of the Borough of Garwood;
•
Experience in the County of Union minimum five (5) years;
•
Satisfy all other requirements as set forth by New Jersey state law and the Code of the Borough of
Garwood
Package to include:
•
Resume of attorney and staff attorneys that would be providing legal services
•
Copies of all certificates, degrees and any other training certifications
•
Brief narrative of abilities
•
3 references
•
Cost per hour for attorney, paralegals and support staff
•
Cost per meeting attendance.
•
Itemized list of all other fees and charges
•
Statement as to whether any of the principals of the firm or the firm itself has been convicted of a
crime within the last 5 years
•
Statement as to whether any of the principals of the firm of the firm itself has received a target
letter from a grand jury
•
Certification as to the truth of the above two statements
•
All documents on USB stick included with submission

2.1.2 REDEVELOPMENT ATTORNEY
The attorney/law firm must have the following:
•
Experience in Redevelopment Law: A minimum of five (5) years of practice in Redevelopment
Law, and at least one (1) year of service as a municipal attorney (or substitute municipal attorney)
pursuant to N.J.S.A. 40A:9-139, in one or more municipalities within New Jersey. Possession of
a Diplomate in New Jersey Municipal Law Courses is strongly preferred.
•
Specialized Knowledge: Demonstrated expertise in property acquisition through eminent domain
and familiarity with the Abandoned Property Rehabilitation Act (N.J.S.A. 55-19-78 et seq.).
•
Redevelopment Services: Ability to provide comprehensive legal services for redevelopment
initiatives, including the development, implementation, structuring, and financing of projects.
•
Contract Negotiation and Drafting: Proficiency in negotiating and preparing redevelopment
agreements, leases, easements, and use and occupancy agreements.
•
Financial Agreements: Experience negotiating and preparing financial agreements related to tax
exemptions, abatements, and payments in lieu of taxes under the Long- and Short-Term Tax
Exemption Acts. The attorney must also assist project teams with legal issues arising from
environmental assessments in redevelopment areas and initiate eminent domain proceedings when
necessary.
•
Coordination with Borough Administrator: Responsibility for engaging a redevelopment
planner, financial advisor, and communications consultants, as needed, in consultation with the
Borough Administrator.
•
Legislative and Transactional Expertise: Demonstrated ability in drafting ordinances,
resolutions, municipal contracts, redevelopment plans, agreements, and other legal instruments.
Must also possess experience in zoning, planning, municipal law, redevelopment financing,
eminent domain and condemnation, real estate transactions, and matters involving contaminated
property.
•
Attendance: Required to attend meetings as scheduled by the governing body or as otherwise
directed.
•
Litigation Experience: Extensive experience representing public entities in Redevelopment Law
matters at both the trial and appellate levels in the Federal and State Courts of New Jersey.
•
Compliance: Must satisfy all other requirements established under New Jersey state law and the
Code of the Borough of Garwood.

CONTRACT TERMS
The term of any contract awarded under this RFQ shall be for one (1) year. The successful
Respondent shall be required to execute the Borough’s form contract, which includes, among other things,
indemnification, insurance, termination and licensing provisions. At the time of contract award, the
successful Respondent shall be required to provide the Borough with evidence of Professional Liability
Insurance coverage in the minimum amount of $500,000, which shall be maintained in full force during the
life of the contract.

SECTION 3
QUALIFICATIONS AND CRITERIA FOR AWARD
3.1
MINIMUM QUALIFICATIONS FOR EACH POSITION
a.
Licensed New Jersey Attorney in Good Standing;
b.
Minimum of Five (5) years of substantial experience in the applicable specialty.
c.
No record of disciplinary sanctions or legal malpractice judgments in the last seven (7) years.
3.2
SELECTION CRITERIA
The Borough’s objective in soliciting Responses to this RFQ is to enable it to select a firm or firms
that will provide high quality and cost-effective services to the citizens of Garwood. The Borough will
consider Responses only from firms that, in the Borough’s judgment, have demonstrated the capability and
willingness to provide high quality services in the manner described in this RFQ. Responses will be
evaluated by the Borough on the basis of the most advantageous, all relevant factors considered. The
following factors will be taken into consideration and weighed by the Borough as the basis for selecting
qualified attorneys to provide professional services under terms most advantageous to the Borough:
1.
Experience, credentials and reputation in the specific field of expertise;
2.
References and record of success in the specific area of law;
3.
Interview (if conducted at the Borough’s option) and/or demonstrated ability to
competently handle the matters;
4.
Educational background, awards and honors;
5.
Knowledge of the Borough and the subject matter, and any prior successful representation of
the Borough of Garwood.
6.
Availability to accommodate required meetings of the Borough.
7.
Other factors demonstrated to be in the best interest of the Borough.

As to General Legal Services and Bond Counsel only, proposed fee arrangement.

SECTION 4
SUBMISSION REQUIREMENTS
4.1
GENERAL REQUIREMENTS
Responses submitted by Respondents must meet or exceed the professional and administrative
qualifications set forth in the RFQ. In addition to the information required herein, Respondent may submit
supplemental information that it feels may be useful in evaluating its Response. Respondents are
encouraged to be clear, factual and concise in their presentation of information.
No Respondent shall influence, or attempt to influence, or cause to be influenced, any Borough
officer or employee to use his/her official capacity in any manner which might tend to impair the objectivity
or independence of judgment of said officer or employee.
4.2
RESPONSE CONTENT
4.2.1 LETTER OF INTENT
Respondents shall submit a letter of intent signed by the individual who is authorized to commit the
firm to the Scope of Services for which the Response is being submitted. The letter of intent template is
attached as Appendix B.
4.2.2. QUALIFICATION STATEMENT
In addition to the letter of intent, Respondents shall submit a qualification statement indicating the
professional position(s) sought, and providing all pertinent information regarding their qualifications, which
shall include, at a MINIMUM the following.
1. Full name and business address;
2. Identify all attorneys who will provide legal services, and describe their roles in the provision of
legal services; identify supervising attorneys and submit “Certificates of Good Standing” for all
attorneys who will provide legal services;
3. List all college and graduate degrees, including years awarded, held by all attorneys who will
provide legal services;
4. Fully describe the firm’s and individual attorneys’ experience in area(s) of law applied for and any
other information demonstrating the ability to provide quality representation in these areas;
5. List all clients whom the firm has represented in connection with the area(s) of law applied for;
include dates of service and contact information;
6. Provide the number of New Jersey licensed professionals employed by, or associated with, the
firm;
7. List any relevant professional affiliations or membership in any professional societies or
organizations, including any offices or honors held by all attorneys who will provide legal
services;
8. Include the resumes and/or biographies of all attorneys who will provide legal services, and provide
the names and qualifications of any other individual(s) who will assist in the performance of the
tasks and the amount of their respective participation;

4.2.3 OTHER SUBMISSION REQUIREMENTS
1. Qualification Statements must be received by the Borough no later than the Due Date and must be
mailed or hand delivered. Qualification Statements forwarded by facsimile or email will not be
considered. Qualification statements received after the designated time on the Due Date will be
returned, unopened, to the sender. The Respondent is solely responsible for delays in delivery.
2. Qualification Statements and all Forms (Appendix A through N) and other related information must
be stapled or bound and signed by the Respondent. If Respondent is other than a natural person, the
Qualification Statement must be signed by an individual with power to bind the Respondent.
3. The name of the Respondent and the position or contract for which the submission is being made
must be printed on the outside of the package containing Respondent’s submission. The Borough
will, in its sole discretion, determine whether to qualify more than one Respondent for the Services.
4. Respondents are reminded that the forms attached to this RFQ must be completed and submitted with
their Qualifications Statements. See also, Appendix A for a list of documents that must be submitted
with the proposal and those that that successful Respondents must present to the Borough prior to the
Borough’s executing a contract for services with the Respondent.
5. Provide a certification attesting to the fact that in the last seven (7) years neither the firm nor any
professional associated with the firm has received any attorney disciplinary sanction, and further
certify that no adverse judgment has been rendered against the firm or its attorneys in a professional
negligence/malpractice matter. If the applicant cannot so certify, provide a detailed explanation.

and/or terminate the procurement process (in its sole judgment).
6. Respondent acknowledges that if it becomes the Successful Respondent and is awarded a

AMERICANS WITH DISABILITIES ACT OF 1990 EQUAL OPPORTUNITY FOR

The RESPONDENT and the BOROUGH OF GARWOOD (herein referred to as the BOROUGH)
do hereby agree that the provisions of Title 11 of the Americans With Disabilities Act of 1990 (the “Act”)
(42 U.S.C. S12101 et seq.), which prohibits discrimination on the basis of disability by public entities in
all services, programs and activities provided or made available by public entities, and the rules and
regulation promulgated pursuant thereunto, are made a part of this contract. In providing any aid, benefit,
or service on behalf of the BOROUGH pursuant to this contract, the RESPONDENT agrees that the
performance shall be in strict compliance with the Act. In the event the RESPONDENT, its agents,
servants, employees, or subcontractors violate or are alleged to have violated the Act during the
performance of this contract, the RESPONDENT shall defend the BOROUGH in any action or
administrative proceeding commenced pursuant to this Act. The RESPONDENT shall indemnify, protect,
and save harmless the BOROUGH, its agents, servants, and employees from and against any and all suits,
claims, losses, demands, or damages of whatever kind or nature arising out of the alleged violation. The
RESPONDENT shall, at its own expense, appear, defend, and pay any and, all charges for legal services
and any and all costs and other expenses arising from such action or administrative proceeding or incurred
in connection therewith. In any and all complaints brought pursuant to the BOROUGH’S grievance
procedure, the RESPONDENT agrees to abide by any decision of the BOROUGH, which is rendered
pursuant to, said grievance procedure. If any action or administrative proceeding result in an award of
damages against the BOROUGH or if the BOROUGH incurs any expense to cure a violation of the ADA
which has been brought pursuant to its grievance procedure the RESPONDENT shall satisfy and discharge
the same at its own expense.
The BOROUGH shall, as soon as practicable after a claim has been made against it, give written
notice thereof to the RESPONDENT along with full and complete particulars of the claim. If any action
or administrative proceeding is brought against the BOROUGH or any of its agents, servants, and
employees, the BOROUGH shall expeditiously forward or have forwarded to the RESPONDENT every
demand, complaint, notice, summons, pleading, or other process received by the BOROUGH or its
representatives.
It is expressly agreed and understood that any approval by the BOROUGH of the services
provided by the RESPONDENT pursuant to this contract will not relieve the RESPONDENT of the
obligation to comply with the Act and to defend, indemnify, protect, and save harmless the BOROUGH
pursuant to this paragraph.
It is further agreed and understood that the BOROUGH assumes no obligation to indemnify or
save harmless the RESPONDENT, its agents, servants, employees and subcontractors for any claim which
may arise out of their performance of this Agreement. Furthermore, the RESPONDENT expressly
understands and agrees that the provisions of this indemnification clause shall in no way limit the
RESPONDENT’S obligations assumed in this Agreement, nor shall they be construed to relieve the
RESPONDENT from any liability, nor preclude the BOROUGH from taking any other actions available
to it under any other provisions of this Agreement or otherwise at law.

MANDATORY EQUAL EMPLOYMENT OPPORTUNITY NOTICE

During the performance of this contract, the bidder agrees as follows:
The contractor or subcontractor, where applicable, will not discriminate against any employee or applicant

NEW JERSEY BUSINESS REGISTRATION REQUIREMENTS
SUBMIT A COPY OF YOUR BUSINESS REGISTRATION CERTIFICATE WITH YOUR
RESPONSE
All Respondents shall comply with P.L. 2009, C315 in accordance with N.J.S.A. 52:32-44 as amended
on January 18, 2010. Respondents will be required to be registered as defined in the law at the time of
contract. The Borough of Garwood requests that Respondent submit its Business Registration Certificate
(BRC) at the time of submittal of its Response to the RFQ. In no event shall a contract be awarded, unless
prior thereto, the Borough has received the Successful Respondent’s BRC.
Respondent shall include proof of its own BRC and the BRC of any subcontractors
N.J.S.A. 52:32-44 imposes the following requirements on contractors and all subcontractors that
knowingly provide goods or perform services for a contractor fulfilling this contract: 1) the contractor shall
provide written notice to its subcontractors to submit proof of business registration to the contractor; 2) prior
to receipt of final payment from a contracting agency, the contractor must submit to the contracting agency
an accurate list of all subcontractors or attest that none was used; 3) during the term of this contract, the
contractor and its affiliates shall collect and remit, and shall notify all subcontractors and their affiliates that
they must collect and remit to the Director, New Jersey Division of Taxation, the use tax due pursuant to the
Sales and Use Tax Act, (N.J.S.A. 54:32B-1 et seq.) on all sales of tangible personal property delivered into
this State.
A contractor, subcontractor or supplier who fails to provide a BRC or provides false business
registration information shall be liable to a penalty of $25 for each day of violation, not to exceed $50,000
for each business registration not properly provided or maintained under a contract with a contracting
agency. Information on the law and its requirements is available by calling (609) 292-9292.
Registering a business with the New Jersey Department of the Treasury
Business organizations or individuals doing business in New Jersey are required to register with the
department of the treasury, division of revenue. Registration is free and is a one- time action – there are no
fees to register. However, you should update your contact and tax eligibility information as needed.
Registration is required to conduct most business with any state, County, municipal, local board of education,
charter school, County college, authority, or state college or university. The contracting agency may be
required to have a copy of the “proof of registration certificate” submitted as part of a public proposal or prior
to issuing a purchase order.
To register: businesses must complete form NJ-REG and submit it to the division of revenue. The
form can be filed form online or by mailing a paper form to the division. Online filing is strongly encouraged.
