AND
REQUEST FOR PROPOSAL
BEE MEADOW POOL CONCESSION FACILITY
1. Information on Submission of Quotations:
NOTICE IS HEREBY GIVEN that sealed quotations will be received by the Bid
Committee of the Township of Hanover in the County of Morris and State of New Jersey,
at a meeting to be held on Tuesday, April 7, 2026, at 11 :00 a.m., prevailing time, in the
Main Meeting Room of the Township's Municipal Building located at 1000 Route 10 in
Whippany, for the following project:
OPERATION OF THE TOWNSHIP'S BEE MEADOW POOL CONCESSION FACILITY
DURING THE PERIOD COMMENCING MEMORIAL DAY WEEKEND, STARTING
FRIDAY, MAY 22, 2026, AND ENDING ON LABOR DAY,
MONDAY, SEPTEMBER 7, 2026.
Quotations hand delivered or received by mail or courier service will be accepted
on or before the hour of 11:00 a.m. on Tuesday, April 7, 2026. No quotations will be
received after the hour stated above.
This document constitutes the entire specification in the performance of those
services regarding the operation of the Township's Bee Meadow Pool Concession Facility.
A minimum bid of $3,500.00 is required. Quotations less than the minimum
required shall be rejected.
A competitive quotation shall be submitted on the standard proposal form provided
by the Township accompanied by (1) a Non-Collusion Affidavit also provided by the
Township in the Request for Proposal Specification, and (2) a copy of the vendor's
Business Registration Certificate issued by the New Jersey Division of Taxation (see
below). These documents must be submitted in a sealed envelope and bear the name
and address of the bidder, and the name of the project on the outside of the envelope.

The Business Registration of Public Contractors Act (P.L. 2004, c.57) went into
effect on September 1, 2004. The Act requires that all business organizations doing
business with a local contracting unit must register with the State of New Jersey and
provide the contracting unit with proof of such registration. Bidders are required to
submit a copy of their New Jersey Business Registration Certificate with their written
competitive quotations.

FAILURE TO SUBMIT PROOF OF REGISTRATION WITH YOUR QUOTATION IS
CONSIDERED A MANDA TORY REJECTION OF THE QUOTATION
(IN OTHER WORDS, A NON-WAIVABLE DEFECT)
In accordance with the Local Public Contracts Law, the Township of Hanover, as
the contracting unit, shall award a contract or reject all competitive quotations within sixty
(60) days following the receipt of the quotations.
Optional Contract Extension: In addition, pursuant to the Local Public Contracts
Law at N.J.S.A. 40A:11-15, the Township of Hanover reserves the right to extend the
contract of the highest responsible and responsive bidder for one (1) additional pool
season, that is, the 2027 Bee Meadow Pool season. The terms and conditions of the
contract shall remain the same except that the Township will require that payment to the
Township shall be increased by 2% above the amount paid to the Township for the 2026
pool season. The extended contract shall be awarded by resolution of the Township
Committee upon a recommendation to the governing body by the Superintendent of the
Recreation and Park Administration Department that the services that were performed
during the 2026 pool season were performed in accordance with the Township's
Specification and in an effective and efficient manner.
Furthermore, the Township Committee reserves the right to reject any and all
quotations and to award the contract to any bidder whose proposal, in their judgment, best
serves the needs and interests of the Township.
Bidders are required to comply with the requirements of the Mandatory Equal
Employment Opportunity Language at N.J.S.A. 10:5-31 et seq. and the Affirmative Action
Regulations at N.J.A.C. 17:27.
On March 9, 2022, P.L. 2022, c. 3 was signed into law requiring that the State
Department of the Treasury develop, based on credible information available to the public,
a list of persons and entities engaging in prohibited activities in Russia or Belarus. Persons
or entities included on the Russia-Belarus list cannot enter into or renew a contract for the
provision of goods and services greater than $1,000.00 with any municipality or other
government jurisdiction.
Before a goods and services contract can be entered into, vendors and contractors
must certify that neither they nor any parent entity, subsidiary or affiliate is listed on the
New Jersey Department of the Treasury's list of entities determined to be engaged in
prohibited activities in Russia or Belarus pursuant to P.L. 2022, c.3 or in Iran pursuant to
P.L. 2012, c. 25.

Therefore, as the Russia-Belarus law is in effect, before any contract greater than
$1,000.00 for goods or services is awarded, renewed, amended or extended, you, as a
vendor, must certify that you are not identified on the Treasury Department's Russia
Belarus list. You must complete, sign and return with your proposal and quotation
the "Prohibited Russia-Belarus Activities & Iran Investment Activities" Certifications
that is found at the end of this RFP.

2. Definitions:
As used in this Specification, the terms set forth below mean the following:
A. Township - means the Township of Hanover, a corporate body of the
State of New Jersey.
B. Contractor -
means the person, firm, corporation or partnership
submitting the highest quotation to the Township and awarded a contract by the Township
Committee to serve as the Lessee of the Concession Facility.
C. Sub-Contractor - means the vendor who has entered into an agreement
with the contractor to supply the contractor with pizza to be sold by the contractor at the
Bee Meadow Pool Concession Facility.
D. Township Equipment - means the permanent equipment, fixtures and
accessories owned by the Township.
E. Contractor's Equipment - means all non-permanent equipment, which is
owned by the Contractor, other than the Township's equipment, and needed to properly
operate the Concession Facility.
F. Pool Season - means the Bee Meadow Swimming Pool will be open on
the weekends of May 22-25, 2026 (Memorial Day weekend),May 30-31, June 6-7, June
13-14 and June 20-21 ; thereafter, the Pool will be open and operational seven (7) days a
week commencing on Thursday, June 25, 2026, or the day after school closes through
Labor Day, Monday, September 7, 2026.
3. Financial Remuneration to Township:
The Township Committee will award a contract to the person, firm, corporation or
partnership which submits the highest bid for the operation of the Bee Meadow Pool
Concession Facility during the 2026 Pool Season. The Township requires a minimum
of $3,500.00. Quotations less than the minimum required shall be rejected.
Payment to the Township shall be made in cash or certified check in two (2)
equal installments. The first installment, in the amount of $1,750.00 constituting
one-half of the payment, will be made at the time the signed contract is submitted to
the Business Administrator.

The second one-half payment in the amount of $1,750.00 will be delivered to the
Business Administrator on or before Monday, May 11, 2026.
In addition, to guarantee the proper maintenance and care of the Township's
equipment and facilities, the successful vendor will be required to submit a $400.00 cash
maintenance bond. This maintenance bond may be submitted in cash or in the form of a
certified check.
The cash maintenance bond will be refunded at the conclusion of the Pool Season
in the same manner as all other bonds are released by the Township Committee. The
maintenance bond will only be released if the Concession Facility, including all of its
contents, equipment, fixtures and accessories, are found to be in the same condition as
they were before the Contractor took control.
The Superintendent of Parks and
Recreation shall be responsible for conducting an inspection of the premises to ascertain
the proper condition of the Concession Facility.
In furnishing a quotation, each Contractor shall submit a Non-Collusion Affidavit
attached to this Specification certifying that the quotation submitted to the Township is a
bona fide quote, based upon computations made by the Contractor and is not the result of
agreement, collusion or conspiracy with any other person, firm, corporation or partnership.
4. Optional Contract Extension:
In addition, pursuant to the Local Public Contracts Law at N.J.S.A. 40A:11-15, the
Township of Hanover reserves the right to extend the contract of the highest responsible
and responsive bidder for one (1) additional pool season, that is, the 2027 Bee Meadow
Pool season. The terms and conditions of the contract shall remain the same except that
the Township will require that payment to the Township shall be increased by 2% above

5. General Terms and Conditions:
a. As part of the approval process, the Township reserves the right to conduct
a records check of the apparent successful bidder. This records check will be conducted
through local, County and State police, and the Federal Bureau of Investigation.
b. The Township shall perform reference checks for the purpose of verifying
the ability of a contractor to perform concession facility services. Contractors must submit,
along with their quotations, the names, addresses and telephone numbers of at least three
(3) current or former customers who can verify the adequacy and delivery of services by
the vendor.
c. The Township Committee reserves the right upon three (3) calendar days'
written notice to terminate the contract without reason.
Such notice shall be hand
delivered personally by the Superintendent of Recreation and Park Administration or by
certified registered mail.

d. Furthermore, the Township Committee reserves the right, upon the
recommendation of the Board of Recreation Commissioners, to terminate the Contract in
the event that the Concession Facility is not managed, operated or maintained properly to
the satisfaction of the Township. The decision/recommendation to terminate the
Agreement because of neglect or failure to abide by any or all of the provisions, terms and
conditions of the Specification and Contract document shall be made by the Board of
Recreation Commissioners upon the findings and determinations of the Superintendent of
Parks and Recreation.
e. The Township shall provide the Contractor with notice to vacate upon
three (3) calendar days' written notice served and delivered personally, by the
Superintendent of Recreation and Park Administration, or by certified registered mail.
Upon termination of the Contract, the Contractor shall lose all rights, privileges and interest
in the Concession Facility and shall be liable for any damages or losses sustained by the
Township as a result of the negligence or default of the Contractor.
6. Maintenance of Insurance Coverages:
At the time the Contract is executed by the Contractor and submitted to the
Business Administrator/Township Clerk, the Contractor will be required to also submit a
Certificate of Insurance which shows evidence that the following insurance coverages are
maintained. In addition, the Certificate must name the Township as an "additional
insured".
The Certificate, in form satisfactory to the Township, shall also state that the
policies shall not be changed nor cancelled until thirty (30) days written notice has been
served on the Township through the Business Administrator.
A.
Comprehensive General Liability in minimum limits of $500,000/500,000
for bodily injury and $500,000/500,000 for property damage. Coverage must include the
following:
a. Comprehensive Form
b. Premises/Operations
c. Products/Completed Operations
d. Personal & Adverse Injury
e. Broad Form Property Damage
f.
Fire Damage (any one fire)
g. Personal Medical Injury (any one person)
B. Worker's Compensation
Coverage A - Statutory
Coverage B - $100,000 each accident
$500,000 Policy Limit
$100,000 each employee
C. If the Contractor will be utilizing any vehicles in the performance of the
Contract, the Contractor shall also provide evidence of automobile liability insurance, fo
owned and non-owned vehicles in minimum limits of $500,000/500,000 and bodily injury
for one person and $500,000/500,000 for property damage for each accident.

In the event the Contractor shall not utilize any such vehicles in the execution of the
Contract, the Contractor shall provide the Business Administrator/ Township Clerk with
written certification that vehicles are not used. This certification must be submitted prior to
the commencement of Concession Facility operations.
7. Hold Harmless and Indemnification Agreement:
The following statement will be included in the contract:
The Contractor, (name of contractor to be inserted), agrees that to the fullest extent
permitted by law, shall defend, indemnify, and hold harmless the Township of Hanover, its
officers, employees, agents and consultants, for any work or services to be performed on
behalf of the Township, from and against any and all claims, suits, judgments, and
demands whatsoever, including, without limitation, costs, litigation expenses, counsel fees
and liabilities with respect to injury to, or death of, any person or persons whatsoever, or
damage to property of any kind by whomsoever owned, rising out of or caused or claimed
to have been caused in whole or in part by the acts or omissions of (name of contractor to
be inserted), as to the services, operations, labor or materials supplied under the terms of
this Agreement, or to any other person directly or indirectly employed by the Contractor,
while engaged in the performance of the services or any activities associated therewith, or
related thereto.
Nothing herein shall be construed to be a promise or agreement to
indemnify or hold harmless the Township against the Township's sole negligence.
Furthermore, it is understood that the liability of the Township is expressly limited by
the provisions of the Tort Claims Act, N.J.S.A. 59:1-3 et seq. The Contractor is thereby
required, in the processing of any claims for indemnification or defense, to be in strict
compliance with the provisions of the Act.
8. Compliance with Board of Health Regulations:
It shall be the responsibility of the Contractor to comply with all ordinances of the
Board of Health. Furthermore, the Contractor, will be responsible in obtaining a Food
Handler's Permit from the Board of Health for the proper operation of the concession
facility. All individuals having anything to do with the operations or services of the
concession facility will be required to take whatever in-service training courses, seminars
or orientations as offered and required by the Board of Health.
At any time during the term of the Contract, whenever the concession facility is in
operation, the Board of Health reserves the right to make inspections to make certain that
the concession facility is complying with all State regulations and Board of Health
ordinances in the handling and serving of all foods and beverages. If the concession
facility is not operating in accordance with State regulations and/or Board of Health
ordinances, the Board of Health reserves the right to suspend or revoke the Food
Handler's Permit.
In operating the Concession Facility, the Contractor shall be responsible for the
specific day-to-day maintenance of the Concession Facility as follows:
a. To keep the immediate Concession Facility clean of litter and debris.

b. To wash counters daily before opening, after closing and as needed
during operation.
c. To wash floors completely each day at closing.
d. To clean the snack bar facility daily at closing and as needed, during its
operations.
9. Contractor's/Lessee's Responsibilities:
Operation and Maintenance of Bee Meadow Park Swimming Pool
Concession Facility.
a. The Contractor shall operate the refreshment concession facility at the Bee
Meadow Park Swimming Pool on the weekends of May 22-25, 2026; May 30-31; June 6
7; June 13-14; June 20-21; and thereafter, on a daily basis starting Thursday, June 25,
2026, and ending on Monday, September 7, 2026 under the supeNision and control of
the Board of Recreation Commissioners of the Township.
b. The refreshment concession facility shall be open between the hours of 12
Noon to 7:30 p.m., Mondays through Thursdays and between 12 Noon to 7:30 p.m. on
Fridays in June and July, and between the hours of 11 :30 a.m. to 7:30 p.m. on Saturdays,
Sundays and holidays. During the month of August and the first week of September, the
weekday hours will be 12:00 Noon to 7:30 p.m., Mondays through Thursdays, Fridays
between 12 Noon and 7:30 p.m. and on weekends and holidays between 11:30 a.m. to
7:30 p.m. The concession facility shall not be closed at any time during the regular
working hours unless weather forces closure of the total pool facility to members. The
Concession Facility may only close with the prior approval of the Pool Manager or
Superintendent of Recreation and Park Administration.
c. During the Concession Facility's operations, the Contractor shall be
responsible in making certain that at least one (1) person, eighteen (18) years of age or
older, is on the premises at all times to supeNise those employees who are under aged
minors.
d. It shall be the responsibility of the Contractor to make certain that all
juveniles sixteen (16) years of age and under hired by the Contractor for employment at
the Bee Meadow Park Swimming Pool concession facility, are hired in accordance with all
New Jersey Department of Labor employment requirements, and all rules and regulations
promulgated by the Department of Labor.
Copies of state-issued working papers for
anyone age 16 and under who may be employed to work at the Concession Facility shall
be submitted to the Superintendent of the Recreation and Park Administration
Department.
e. In the operation of the concession facility, the Contractor shall abide by all
Township ordinances, rules and regulations including those rules and regulations
promulgated by the Board of Recreation Commissioners governing the conduct, operation
and maintenance of the Commission's parks and facilities.

f_
The Contractor will be responsible for the cost of all food items purchased
for sale at the Bee Meadow Park Swimming Pool concession facility and shall be entitled
to retain any revenues derived from their operations during the periods set forth herein,
less the two (2) installment payments set forth under paragraph 3 above.
g. The Contractor shall provide the following:
all food stuffs, personnel,
cooking utensils, paper service, cleaning materials and equipment.
In addition, the
Contractor shall be responsible for the collection and proper disposal of cooking oil at the
time the Concession Facility is closed.
h. The Contractor shall serve: hot dogs, hamburgers, cheeseburgers, French
fries, salads, candy, ice cream, snow cones (optional), coffee, milk and soda. The sale of
gum or gum like products is prohibited. No glass bottles or containers shall be allowed.
Other items may be served upon mutual agreement with the Recreation Commission of
the Township of Hanover.
k. In addition, as an option, the Contractor may enter into an agreement with a
vendor restaurant or pizza parlor (sub-contractor) to supply the Contractor with pizza for
purchase of pizzas by Pool members and guests. This sub-contract shall be between the
Contractor and the Sub-Contractor of his/her choice. The Township will not be involved in
the selection of a Sub-Contractor.
It shall be the sole responsibility of the Contractor to
select a restaurant or pizza parlor if he/she so desires to exercise the option to sell pizza
as an additional food item.
j.
On or before Monday, May 4, 2026, the Contractor shall provide the
Superintendent of Recreation and Park Administration with a copy of the Contractor's
suggested menu and prices (including pizza if this option is exercised), for review by the
Board of Recreation Commissioners. The Board of Recreation Commissioners reserves
the right to make changes to the menu and/or prices.
k.
The Contractor shall provide a price list and shall post and maintain said
price list in a conspicuous place in the concession facility during the operation thereof.
Price changes for the menu cannot be made without the prior written consent of the
Superintendent of Recreation and Park Administration.
I.
Any damage to the Concession Facility property shall be repaired by the
Contractor. An inspection will be made by the Superintendent of Recreation and Park
Administration at the end of the season. All damage must be repaired within thirty (30)
days of date of inspection or risk the forfeiture of the $400.00 maintenance bond.
m. The Township of Hanover assumes no liability for the security of the
building; all risks shall be assumed by the Contractor.
n. Damages to the concession facility fixtures or equipment of any kind
whatsoever, caused by carelessness, negligence or improper use by any agents or
employees of the Contractor, shall cause the Contractor to immediately begin repairs
within twenty-four (24) hours. All damages shall be at the Contractor's own cost and
expense. If the Contractor fails or neglects to begin the necessary repairs within twenty
four (24) hours, the Township reserves the right to enter the Concession Facility and make
the repairs. The cost and expenses incurred by the Township shall be deducted from the
$400.00 cash maintenance bond.

o.
The Contractor shall not assign this Agreement or sublease the Bee
Meadow Park Swimming Pool concession facility, or any parts thereof, during the term of
this contract.
p. The Contractor agrees not to make any alterations, additions or
improvements to the refreshment concession facility without the express written consent of
the Board of Recreation Commissioners, the Board of Health and the Construction Code
Official.
q. The
Contractor agrees that the Township,
its
agents
or other
representatives, shall have the right to enter the concession facility at any time for the
purpose of inspecting the premises for the health, safety and welfare of the general public.
r.
If, for any reason, during the period in which this Contract is in effect, the
refreshment concession facility becomes vacant, the Township may reenter the facility, by
force or otherwise, without its agents or representatives being liable for prosecution thereof
and re-let the concession facility or otherwise appropriate the premises for the Township's
own use.
s. If, for any reason, the Contractor moves out, or is dispossessed at the
concession facility, and fails to remove any property belonging to the Contractor, said
property, such as equipment and fixtures, shall be deemed abandoned by the Contractor
and shall become the property of the Township.
t.
Within thirty (30) calendar days of the termination of the contract, that is,
Wednesday, October 4, 2026, the Contractor, if it is a not-for-profit organization, shall
submit a comprehensive financial report of its operations to the Board of Recreation
Commissioners which report shall specify both gross and net receipts.
u. If the Contractor is a not-for-profit organization, it shall submit prior to the
inception of the Lease, proof of its tax-exempt status pursuant to State and Federal
regulations. Such proof is to be submitted to the Business Administrator/Township Clerk.
v. The Contractor shall neither place, nor cause, nor allow to be placed, any
signs or signs of any kind whatsoever, at, in or about the premises, or in or about the
entrances thereto, except the price list or lists specified.
w. The Township shall not be liable for any damage or injury to the property of
the Contractor whatever the cause may be.
x. Occupancy to the Concession Facility shall be limited to the employees
working for the Contractor. It shall be the responsibility of the Contractor to make certain
that this term is strictly enforced.
y. The Contractor and any of his/her employees or agents may not utilize the
Bee Meadow Swimming Pool or any of its facilities except when the Pool is opened to the
public and then only, if such employees are members in good standing with the Pool.

z. A telephone may be furnished at the option and expense of the Contractor.
z(1 ). Vending machines may be used, but only with the prior written consent
and approval of the Board of Recreation Commissioners and the Board of Health. Said
machines may only be used by the Contractor during the life of the Contract.
z(2). Upon termination of the Contract, the Contractor shall return to the Board
of Recreation Commissioners all building and alarm keys.
z(3). The Contractor will be responsible in providing extermination services if it
is deemed necessary by the Superintendent of Recreation and Park Administration.
10.Township's Responsibilities:
a. The following serves as a list of the equipment, fixtures and accessories
owned by the Township and located at the Bee Meadow Pool Concession Facility:
1. One (1) Grill
2. Two (2) Fryers
3. Four (4) Freezers
4. Two (2) Refrigerators
5. One (1) Ice Machine
b. If, the Bee Meadow Pool and/or Concession Facility are forced to close or
temporarily curtail operations due to unforeseeable or extenuating circumstances beyond
the control of the Township and/or the vendor, the Township shall refund a pro rata share
of the bid amount to the vendor.
c. The Township shall be responsible for the repair and/or replacement of
Township owned property at the Concession Facility such as ceilings, tiles, walls, floors,
plumbing and Township owned equipment as a result of normal wear and tear. Unless it
is an emergent condition, the Township shall give the Contractor twenty-four (24) hours'
notice of the intent to make adequate repairs.
d. The Township shall be responsible in assuming all costs related to water,
electricity, gas and sewer services.
