RESOLUTION #26-121 
 
Authorizing the Mayor to Execute a Settlement Agreement with Nicholas Auriemma and 
Matina & Son, Inc., for Litigation under Docket No. BER-DC-25764-25  
 
WHEREAS, Nicholas Auriemma filed a lawsuit in the Superior Court of New Jersey, 
Bergen County Vicinage, Special Civil Part titled Nicholas Auriemma v. Borough of River Edge, 
under Docket No. BER-DC-25764-25 (hereinafter referred to as “Special Civil Action”) wherein 
he asserted claims against the Borough for a contract dispute; and, 
 
WHEREAS, the Borough, Nicholas Auriemma, and Matina & Son, Inc., entered into a 
Settlement Agreement resolving and forever settling, without the burden and expense incident to 
litigation, all of Nicholas Auriemma’s claims, both known and unknown, including, but not 
limited to, all claims which have been or could have been asserted in the Special Civil Action; 
and, 
 
WHEREAS, the Mayor and Council desire to execute and memorialize the Settlement 
Agreement. 
 
NOW, THEREFORE, BE IT RESOLVED by the Borough Council of the Borough 
of River Edge, in the County of Bergen and State of New Jersey, as follows: 
 
1. 
The Mayor and Borough Clerk are hereby authorized and directed to execute 
the Settlement Agreement with Nicholas Auriemma and Matina & Son, Inc., in a form 
acceptable to the Borough Council. 
 
2. 
A copy of this Resolution shall be provided to Nicholas Auriemma and Matina 
& Son, Inc., for their information and guidance. 
 
3. 
A copy of the Settlement Agreement shall remain on file in the Borough 
Clerk’s office and available for public inspection. 
 
4. 
This Resolution shall take effect immediately.
