RESOLUTION #125
Authorizing the Mayor to Execute a Settlement Agreement with Nicole Conway for
Litigation under Docket No. BER-L-3784-24
WHEREAS, Nicole Conway filed a lawsuit on or around June 28, 2024 in the Superior
Court of New Jersey, Bergen County Vicinage, Law Division captioned, Nicole Conway v. AA
Berms, LLC, Borough of River Edge, John Does I-V (said individuals being unknown and
fictitious), XYZ Companies and Entities I-V (said companies and entities being unknown and
fictitous), and Jane Does I-V (said individuals being unknown and fictitious), Docket No. BER-L-
003784-24 (hereinafter referred to as the “Litigation”) wherein she asserted claims against the
Borough of River Edge (the “Borough”) for negligence; and,
WHEREAS, the Borough and Nicole Conway entered into a Settlement Agreement
resolving and forever settling, without the burden and expense incident to litigation, all of Nicole
Conway’s claims, both known and unknown, including, but not limited to, all claims which have
been or could have been asserted in the Litigation;
WHEREAS, the full amount of the Settlement shall be funded and paid in its entirety by
the Bergen JIF Claims, LLC, with no financial obligation borne by the Borough; and,
WHEREAS, the Mayor and Council desire to execute and memorialize the Settlement
Agreement.
NOW, THEREFORE, BE IT RESOLVED by the Borough Council of the Borough of
River Edge, in the County of Bergen and State of New Jersey, as follows:
1.
The Mayor and Borough Clerk are hereby authorized and directed to execute
the Settlement Agreement with Nicole Conway in a form acceptable to the Borough Council.
2.
A copy of this Resolution shall be provided to Nicole Conway for her
information and guidance.
3.
A copy of this Resolution shall be provided to the Bergen JIF Claims, LLC.
4.
A copy of the Settlement Agreement shall remain on file in the Borough Clerk’s
office and available for public inspection.
5.
This Resolution shall take effect immediately.
