1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Hank Fichtner, doing business as MuniBidder (“Operator,” “we,” “us,” or “our”), governing your access to and use of the MuniBidder platform, including our website at munibidder.com and all related services (collectively, the “Service”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

MuniBidder provides an AI-powered municipal bid monitoring and intelligence platform. The Service aggregates publicly available government procurement data, provides risk analysis, and delivers alerts to users. The information provided through the Service is for informational purposes only and does not constitute legal, financial, or professional advice.

3. Account Registration and Trial

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during the registration process.

New accounts receive a complimentary 7-day trial period. During the trial, you have access to the full feature set of the Service. After the trial period expires, continued access requires a paid subscription.

4. Subscription and Payment

The Service is offered on a subscription basis at the following rates:

  • Monthly Plan: $50.00 per month, billed monthly. May be canceled at any time.
  • Annual Plan: $450.00 per year ($37.50 per month), billed annually. Represents a 25% discount over the monthly rate.

Subscription fees are processed through Stripe, our third-party payment processor. By subscribing, you authorize recurring charges to your payment method. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.

5. Data Accuracy and Disclaimer

While we strive to provide accurate and timely information, the data presented through the Service is sourced from publicly available government websites and may contain errors, omissions, or outdated information. We do not guarantee the accuracy, completeness, or timeliness of any information provided.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE OPERATOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL THE OPERATOR'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE AMOUNTS PAID BY YOU TO THE OPERATOR DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100.00), WHICHEVER IS GREATER.

7. Acceptable Use

You agree not to:

  • Use automated tools to scrape, harvest, or extract data from the Service
  • Resell, redistribute, or sublicense access to the Service or its data
  • Circumvent any access controls, rate limits, or security measures
  • Use the Service for any unlawful purpose or in violation of applicable laws
  • Attempt to gain unauthorized access to any part of the Service

8. Intellectual Property

The Service, including its design, features, and proprietary scoring algorithms, is owned by the Operator and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during the term of your subscription.

9. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Service ceases immediately.

10. Indemnification

You agree to indemnify, defend, and hold harmless the Operator from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of laws provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in New Jersey.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the “Last updated” date. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.
